1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of IntelliCorp AI, operated by IntelliCorp AI ("Company", "we", "us", or "our"). By accessing or using the platform, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are using the platform on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms, and references to "you" include that organisation.
If you do not agree to these Terms, do not use the platform.
2. Description of Service
IntelliCorp AI is an enterprise AI platform that provides:
- AI-powered chat assistant: Employees can ask questions and receive answers grounded in their organisation's uploaded documents and knowledge base
- Knowledge base management: HR teams can upload, categorise, and publish documents including policies, handbooks, announcements, and FAQs
- Role-based workspaces: Separate, permission-gated dashboards for superadmins, organisation admins, HR managers, and employees
- Multi-tenant architecture: Complete data isolation between organisations on shared infrastructure
- Analytics: Usage insights including conversation metrics, token consumption, and engagement data
The platform is intended for use by enterprise organisations and their employees. It is not a consumer product.
3. Accounts & Access
3.1 Account Registration
To use IntelliCorp AI, you must register using a valid work email address from your organisation. Personal email addresses from free providers (Gmail, Yahoo, Outlook, etc.) are not permitted. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
3.2 Organisation Accounts
Enterprise accounts are provisioned by IntelliCorp AI for the organisation. The organisation admin is responsible for managing user access, assigning roles, and ensuring that all users within the organisation comply with these Terms. The organisation is liable for the actions of its users on the platform.
3.3 Account Security
You must immediately notify us at security@intellicorp.ai if you suspect any unauthorised access to your account. We are not liable for losses resulting from unauthorised access caused by your failure to maintain account security.
3.4 Social Authentication
You may authenticate using Google, GitHub, or LinkedIn OAuth, provided the linked account uses your authorised organisation email domain. Authentication via personal email accounts connected to these providers is not permitted.
4. Acceptable Use Policy
You agree to use IntelliCorp AI only for lawful purposes and in a manner consistent with these Terms. You must not:
Content restrictions:
- Upload content that infringes intellectual property rights, contains malware, or violates any applicable law
- Input or elicit AI responses that contain defamatory, harassing, discriminatory, or illegal content
- Use the platform to generate or distribute misinformation
Technical restrictions:
- Attempt to reverse-engineer, decompile, or extract the source code of the platform
- Circumvent rate limits, access controls, or tenant isolation mechanisms
- Use automated scripts to scrape data or stress-test the platform without prior written consent
- Attempt to gain access to other tenants' data or systems
Commercial restrictions:
- Resell, sublicense, or white-label the platform without a written reseller agreement
- Use the platform to build a competing product
- Share access credentials with individuals outside your organisation
Violation of this policy may result in immediate account suspension without refund.
5. AI Usage & Limitations
AI-generated content: Responses generated by the AI assistant are based on your organisation's uploaded documents and the capabilities of the underlying AI models (GPT-4o, Claude Sonnet, Gemini Flash). AI responses may occasionally be inaccurate, incomplete, or outdated. You should verify critical information — particularly regarding legal, medical, financial, or HR compliance matters — with qualified professionals.
No professional advice: IntelliCorp AI is a knowledge management and retrieval tool. Nothing in the platform constitutes legal, HR, medical, financial, or regulatory advice. Your organisation is solely responsible for decisions made based on AI-generated responses.
Token limits: Each subscription plan includes an allocation of AI tokens per billing period. Exceeding your plan's token allocation may result in service throttling or overage charges as specified in your plan. Token counts are based on our measurement of tokens consumed and are final.
Model availability: We reserve the right to update, substitute, or discontinue specific AI models at any time. We will endeavour to provide 30 days' notice for material changes to model availability.
6. Data Ownership & Licence
Your data: You retain full ownership of all data you upload to the platform, including documents, configurations, and conversation history. We claim no ownership over your content.
Licence to us: By uploading content to IntelliCorp AI, you grant us a limited, non-exclusive, worldwide licence to store, process, and transmit that content solely as necessary to provide the platform services. This licence terminates when you delete the content or terminate your account.
Feedback: If you provide feedback, suggestions, or ideas about the platform, you grant us a perpetual, royalty-free licence to use that feedback to improve our products without any obligation to compensate you.
Platform IP: All software, design, trademarks, and proprietary technology underlying IntelliCorp AI remain the exclusive property of IntelliCorp AI. These Terms do not grant you any rights to our intellectual property beyond the limited licence to use the platform.
7. Subscriptions & Billing
Plans: IntelliCorp AI is offered on a subscription basis with tiered plans based on token usage, number of users, and feature access. Current plan details are published at intellicorp.ai/pricing.
Billing cycle: Subscriptions are billed monthly or annually in advance. Annual plans receive a discounted rate.
Token overages: Professional plan customers may incur overage charges at the published rate per 1,000 additional tokens beyond their monthly allocation. Overage charges are billed at the end of the billing period.
Payment: All fees are due in advance and non-refundable except as expressly stated. You authorise us to charge the payment method on file.
Cancellation: You may cancel your subscription at any time. Upon cancellation, access continues until the end of the current billing period. No partial refunds are issued for unused periods.
Free tier: The Starter plan is provided free of charge within stated limits. We reserve the right to modify or discontinue the free tier with 60 days' notice.
8. Service Availability & SLA
We target 99.9% monthly uptime for production services, excluding scheduled maintenance. Scheduled maintenance windows will be communicated at least 48 hours in advance.
We are not liable for downtime caused by:
- Planned maintenance windows
- Third-party AI provider outages (OpenAI, Anthropic, Google)
- Force majeure events
- Actions taken by you or third parties outside our reasonable control
Enterprise customers with SLA agreements will have downtime calculated and credits applied per the terms of their agreement.
9. Termination
By you: You may terminate your account at any time by contacting support@intellicorp.ai or through the organisation admin dashboard.
By us: We may suspend or terminate your account immediately, without prior notice, if:
- You materially breach these Terms
- Your payment is 14 days overdue after notice
- We are required to do so by law
- Continuing service would expose us to legal liability
Effect of termination: Upon termination, your right to access the platform ceases immediately. We will provide a 30-day data export window following termination, after which all your data will be permanently deleted in accordance with our retention policy.
10. Disclaimers & Limitation of Liability
AS-IS: The platform is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of liability: To the maximum extent permitted by applicable law, IntelliCorp AI's total aggregate liability for any claims arising under or related to these Terms shall not exceed the greater of: (a) the total fees paid by you in the 12 months preceding the claim, or (b) USD $100.
Exclusions: In no event shall IntelliCorp AI be liable for indirect, incidental, special, exemplary, consequential, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.
11. Governing Law & Disputes
These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the platform shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996, with proceedings conducted in English in Mumbai, Maharashtra, India.
You waive any right to participate in a class action lawsuit or class-wide arbitration.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or an in-platform notification. Your continued use of the platform after the effective date of the revised Terms constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the platform and request account deletion.
